Terms and Conditions

Welcome to Luna Navigator ("Luna"), a platform offering a private, personalized data-enabled companion to help you better understand cancer-related information and feel more prepared throughout your journey. Luna has been developed by Navexio Inc. ("we" or "us").

These terms and conditions of access to and use of Luna are a binding legal contract between you and us, and apply to Luna as it is updated from time to time. By joining Luna, you confirm that you have read, understood, and agree to be bound by these terms and conditions and in any document referred to in them including our Privacy Policy (collectively, the "Terms").

Luna is offered through www.lunanavigator.com, and other URLs we may establish from time to time.

"Activity Data" means information about how you interact with Luna, including content that has been accessed, duration of viewing time, and your hardware and equipment;

"Content" means information that you upload to Luna, including share information to Luna;

"Credentials" means a User's unique username and password;

"Intellectual Property Rights" means rights protected by intellectual property laws including copyright, trademark, patent, trade secret, and any other proprietary rights whether or not registered;

"Losses" means any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including but not limited to attorney's fees;

"Luna IP" means trademarks and trade names, including Luna Navigator Personal, Luna Navigator Circle and Luna Navigator Circle Plus, and related names, words, logos, product and service names, designs, images and slogans, including without limitation all materials and content therein, information, software, code, data, models, displays, presentation, website layout, images, text, design, selection of arrangement, graphics, illustrations, logos, patents, trademarks, and service marks;

"Member" means any person who has a license to use Luna, including a Member's trusted loved ones; and

"Terms" means these terms and conditions and in any document referred to herein including our Privacy Policy.

The Terms apply to all Members of Luna, and to any visitors to any of our sites ("Users"). If you do not agree to the Terms, do not use Luna.

You represent and warrant that you are: (i) 18 years of age or older; and (ii) have the legal capacity to form a binding agreement with us.

We may, without prior notice, update all or a portion of Luna, or stop providing all or a portion of Luna, to you or to Members generally. We may also suspend Luna for maintenance, if we believe in good faith you have breached the Terms, to address emergency security concerns, or if required by law or a regulatory body. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of Luna. We have no obligation to retain any of your account, Credentials or Content for any period beyond what is required by applicable law, unless you indicate on Luna that you wish such information to be retained. We also reserve the right to terminate Member accounts that are inactive for an extended period, subject to compliance with applicable laws. No termination of the Terms will entitle you to a subscription fee refund.

We may update the Terms from time to time without prior notice, and your continued use after such changes indicates your acceptance of same. We will provide notice of material changes as required on Luna or via email. You agree to periodically review the Terms so as to be aware of any updates. The Terms were last updated on March 1, 2026. If you do not agree with any updates to the Terms, do not use Luna.

You can choose the Luna membership that best suits your needs.

Luna Navigator Personal – Personalized data-enabled support

Provides Members with a private, personalized AI companion to help them better understand cancer-related information and feel more prepared throughout their journey. Luna remembers your diagnosis context, previous conversations, and the topics that matter most to you, allowing each interaction to build on the last.

You can ask questions in plain language, explore topics at your own pace, and prepare for conversations with your healthcare team. Luna Navigator Personal is designed to provide clear explanations, help organize thoughts before appointments, and support learning between visits.

This plan is intended for Members who want a personal, private space to explore questions and stay informed throughout their cancer journey.

Luna Navigator Circle – Shared support with the people who matter most

Builds on Luna Navigator Personal by allowing you to invite up to two trusted loved ones (family members, friends, or caregivers) to participate in your Luna experience. Members of your Circle can access the shared conversation space, ask questions, and explore topics alongside you. This allows everyone supporting you to stay informed, understand the same information, and feel more prepared when discussing care decisions together.

Luna Navigator Circle is ideal for Members who want their support network to be part of the learning and navigation process.

Luna Navigator Circle Plus – For Navexio clients seeking deeper continuity

Builds on Luna Navigator Circle and is available exclusively to Navexio clients. Luna can incorporate information from your Navexio reports and consultations, allowing conversations to be more informed by your individual case history. This creates a more contextual experience where Luna can help explain findings, revisit previous insights, and support ongoing understanding of your cancer journey.

Luna Navigator Circle Plus helps extend the value of Navexio's work by providing continuous access to explanations and context between consultations.

Subscription fees and other membership and plan details are available on Luna at www.lunanavigator.com.

To use all features of Luna, you must complete the registration process and create an account with a unique username and password ("Credentials"). Your account and Credentials are specific to you and may not be shared with any other person. You are solely responsible for maintaining the confidentiality of your Credentials and you will be held responsible for any harm caused by: (i) your sharing of them intentionally or unintentionally, or (ii) any authorized or unauthorized use of your Credentials. You will not permit any other person to use your account or Credentials, and you will immediately notify us if you know or suspect that your account or Credentials may have been compromised.

You will provide true, accurate, current and complete information about yourself. You will also maintain and promptly update this data to keep it accurate, current and complete.

We may act upon any communication sent through your account or under your Credentials. We are not required to verify the actual identity or authority of any person using your account or Credentials, but we may from time to time require verification of identity and refuse use of your account if such verification fails. If we, in our absolute discretion, believe your account or Credentials may have been compromised, we may immediately suspend or terminate your account without any notice to you.

You may be required to change your Credentials from time to time.

When you share information with Luna, including messages, text, files, documents, images and other material ("Content"), you grant Luna a worldwide, unlimited, non-exclusive, transferable, unconditional, irrevocable, assignable, fully sublicensable (through multiple tiers), royalty-free, non-compensable license to:

• provide and maintain Luna;
• process Content to extract data;
• index Content for retrieval and search purposes;
• generate responses based on your requests;
• prevent abuse and enforce security;
• test Luna models and outputs; and
• comply with applicable law.

We will never sell Content or other Member data.

You also grant your trusted loved ones a non-exclusive license to access your Content through Luna. Subject to the license granted to Luna, you retain all other right, title, and interest in and to your Content.

By sharing your Content, you represent and warrant that:

• You have all rights and applicable privacy consents to share personal information in the Content; and
• You have all the licenses, rights, consents, power, permissions and authority necessary to grant the license to Luna herein.

If you are a Member of a Luna plan that includes trusted loved ones, you agree to only invite people whom you have permission to include. You understand that your trusted loved ones may be able to view shared Content, and you are responsible for what you share with them.

We maintain appropriate technical and organizational measures to protect your personal information. We cannot, however, guarantee that unauthorized third parties will never be able to compromise our security measures or use your personal information for improper purposes.

YOU ACKNOWLEDGE AND AGREE THAT LUNA DOES NOT PROVIDE OR REPLACE MEDICAL ADVICE FROM YOUR HEALTHCARE PROFESSIONAL. We make no representations, warranties, or guarantees, express or implied, as to the accuracy, completeness or current nature of the information provided and do not accept any liability whatsoever arising from content errors or omissions. Your use of Luna is at your own risk and neither we nor our affiliates, directors, partners, contractors, agents, licensors, licensees, suppliers or successors make any representations or guarantees, nor assume any responsibility for such use.

We own and operate Luna worldwide from Canada, subject to restrictions on certain countries under Canadian or other laws relating to import/export, sanctions or other matters.

LUNA IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR THE POLICE DEPARTMENT IMMEDIATELY.

When you use Luna, you provide us with information relating to your activity, content that has been accessed, duration of viewing time, and your hardware and equipment ("Activity Data"). All Activity Data that is identifiable to a person will be treated according to the Privacy Policy. We will use your Activity Data to generate aggregated and anonymous insights that do not identify you. We are the exclusive owner of all rights of any nature in and to all insights, and we are entitled to their unrestricted use and sharing for any purpose.

Luna uses Member Content in artificial intelligence models to deliver data enabled information to that Member. You acknowledge and agree that the models may return inaccurate, incomplete or outdated information. You agree to independently verify important information, and that you are responsible for any decisions or actions taken based on Luna information. From time to time, Luna may test and calibrate its models to ensure accuracy, completeness and currency; however we cannot guarantee this is any given instance.

You agree to use Luna for lawful purposes only, in a manner consistent with the Terms, and in compliance with applicable laws and regulations.

You agree not to use or refer to Luna in any manner that: (i) infringes, violates or misappropriates our rights; or (ii) may be considered defamatory, discriminatory or otherwise malicious, harassing, exploitative or harmful to us or any person.

You will not, nor permit others to:

• sub-license, sell, rent, lend, lease or distribute Luna or any intellectual property rights therein, or otherwise make Luna available to anyone;
• use or access Luna in a manner that threatens its security or functionality, or for any purpose or in any manner not expressly permitted in the Terms;
• attempt to access other Members' Content without their consent;
• modify Luna or perform any vulnerability, penetration or similar testing;
• reverse engineer, de-compile or disassemble Luna;
• scrape, crawl, or automate access in any way;
• bypass security controls or authentication;
• remove or obscure any proprietary notices or labels, including brand, copyright, trademark and patent or patent pending notices;
• access or use Luna for the purpose of building a similar or competitive product or service, or for any commercial purpose; or
• create, collect, transmit, store, use or process any data other than in accordance with the Terms, including to upload Content that contains any computer viruses, worms, malicious code, or any software intended to damage or alter a computer system or data; or that you do not have the lawful right to create, collect, transmit, store, use or process.

Monthly subscriptions are paid in advance, will automatically renew at 30 day intervals and will be governed by the Terms in effect on the first day of the new month. If you do not wish to renew, you may cancel on Luna, before month end. Cancellations will be processed at the end of the subscription period and no refund will be issued for any portion of the month in which the cancellation notice was received.

We may change the subscription fee from time to time as indicated by an update to Luna. If the subscription fee has changed since you subscribed, the new subscription fee will take effect at renewal. You expressly authorize us to instruct your payment processor to process payment on the first day of the new month or a reasonable time thereafter. You accept renewal at the new price by not cancelling your Membership.

If Luna has been completely unavailable to you for more than 30 continuous days, and such outage is directly attributable to our act or omission, you shall be entitled to a pro rata refund for the length of the outage.

All prices are in Canadian dollars, for Canadian residents, or US dollars, for all other Members, and are subject to all applicable sales taxes. If we suspend or terminate your Member account upon your breach of the Terms, no refund will be issued.

Provision of Luna may be subject to import and export laws, and legal restrictions of other countries.

Luna Navigator Personal, Luna Navigator Circle and Luna Navigator Circle Plus and related names, words, logos, product and service names, designs, images and slogans are trademarks or trade names of ours and our affiliates.

Nothing in the Terms shall or shall be deemed to grant, either expressly, by implication, estoppel or otherwise, a licence or other right to use any such marks or names or any other content, features, or functionality, including without limitation all materials and content therein or transferred thereby, information, software, code, data, models, displays, presentation, website layout, images, text, design, selection of arrangement, graphics, illustrations, logos, patents, trademarks, or service marks ("Luna IP").

All Luna IP is owned by us and is protected in all forms by intellectual property laws including copyright, trademark, patent, trade secret, and any other proprietary rights whether or not registered related thereto (collectively "Intellectual Property Rights") and are our exclusive property.

Use of any Luna IP, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws that could subject you to legal action. We reserve the right for ourselves and third-party owners to take such steps as we consider appropriate, including legal action, to enforce such rights under applicable law.

If you print, copy, or download any part of Luna in breach of the Terms, your license to use Luna will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Use of the Luna IP for any purpose not expressly permitted by the Terms is strictly prohibited.

Luna may contain links to unaffiliated third party websites. We do not endorse or assume any responsibility for any such websites, products, or services. If you access a third party website or use a third party product or service, you do so at your own risk and release us from all liability arising from your use of any third party website, product or service.

Luna may provide notifications to you via email or through conspicuous posting on our website, as we determine in our absolute discretion. We reserve the right to determine the form and means of providing notifications to our Members. We recommend that you add noreply@lunanavigator.com to your email address book to help ensure you receive email notifications from us.

You will defend, indemnify and hold us harmless as well as our affiliates, agents, licensors, and their respective employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including but not limited to attorney's fees (collectively, "Losses"), whether such Losses arise before or after termination of the Terms, arising from:

• your use of Luna, or the authorized or unauthorized use of your Credentials;
• any data or Content transmitted or received by you or through your account;
• your violation of the Terms, or use of Luna IP or materials for any purpose not expressly permitted;
• your violation of any third party right, including any privacy or Intellectual Property Right;
• your intentional or negligent introduction into Luna of any computer virus, worm, malicious code, or any software intended to damage or alter a computer system or data; or
• your violation of any applicable law, rule or regulation.

You will fully cooperate with us in your defense of any claim pursuant to your indemnification obligations under the Terms. We reserve the right to participate in the defense of and settlement negotiations relating to any third party claim, complaint, demand, action, suit or proceeding with counsel of our own selection at our cost and expense, provided further that you shall not settle any claim without our prior written approval.

WE DO NOT GUARANTEE ANY RESULTS FROM USING LUNA, WHICH IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF LUNA IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Without limiting the foregoing, any information that may be available through Luna is for informational purposes only and is not intended to substitute for medical advice from your healthcare professional. We, our affiliates, agents, licensors or successors and their respective employees, contractors, directors, agents, officers and directors do not warrant that the content is accurate, reliable or correct or error free; that Luna will meet your requirements; that Luna will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that Luna content available for downloading are free of viruses or other destructive code or harmful components. Any information downloaded or otherwise obtained through Luna is at your own risk and you will be solely responsible for any damage to your computer system or loss of data that results. You are entirely and solely responsible for your use of Luna and your computer, internet, and data security.

To the extent that we permit access to a third party product or service through Luna, including via hyperlinked website, we do not warrant, endorse, guarantee, or assume responsibility for any such product or service advertised or offered by a third party, and will not be a party to or monitor any transaction between you and a third party.

Further we do not monitor and are not a party to any interaction between you and another Member.

EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW, NEITHER WE NOR OUR AFFILIATES, AGENTS, LICENSORS OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSEES, SUPPLIERS, OR SUCCESSORS WILL BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, DAMAGES OF ANY KIND, UNDER TORT, CONTRACT, STATUTE, OR ANY LEGAL THEORY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF USE, LOSS OF DATA, OR REPLACEMENT COSTS OF ANY NATURE), HOWEVER CAUSED AND WHETHER OR NOT THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW OF SUCH, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OR RELIANCE ON, LUNA, ANY LINKED WEBSITES OR OTHER THIRD PARTY WEBSITES, NOR ANY WEBSITE CONTENT, MATERIALS, POSTING, OR INFORMATION THEREON EVEN IF THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW OF SUCH.

IN NO EVENT WILL OUR AGGREGATE LIABILITY IN CONNECTION WITH OR UNDER THE TERMS, UNDER ANY LEGAL BASIS AND INCLUDING NEGLIGENCE OR GROSS NEGLIGENCE, EXCEED THE AMOUNT OF FEES YOU HAVE PAID FOR LUNA IN THE CONTRACT YEAR DURING WHICH THE EVENT UNDERLYING THE CLAIM OCCURRED. FOR GREATER CERTAINTY, THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THIS AGREEMENT WILL NOT INCREASE THIS MAXIMUM LIABILITY AMOUNT.

WE SHALL NOT BE LIABLE FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES, OR OTHER PROBLEMS INHERENT IN USE OF THE INTERNET, ELECTRONIC COMMUNICATIONS, TELECOMMUNICATIONS NETWORKS OR OTHER SYSTEMS OR NETWORKS OUTSIDE OUR REASONABLE CONTROL.

We shall not be considered to be in breach of the Terms, and shall be excused from performance or liability for losses or damages, if and to the extent we are delayed in or prevented from performing or carrying out any of the provisions of the Terms, where such delay or failure arises out of any act, omission, or circumstance by or in consequence of any act of God, labour disturbance, pandemic, epidemic, sabotage, failure of suppliers of materials, act of the public enemy, war, invasion, insurrection, riot, fire, storm, flood, ice, earthquake, explosion, breakage or accident to machinery or equipment or any other cause or causes beyond our reasonable control, including any curtailment, order, regulation, or restriction imposed by governmental, military or lawfully established civilian authorities, or by making of repairs necessitated by an emergency circumstance to our property or equipment or of another person or entity. Such a force majeure event does not include an act of negligence or intentional wrongdoing by a party.

a. The Terms and any disputes shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

b. You agree that irreparable harm can occur if the Terms are breached, for which monetary damages would not be an adequate remedy at law. We shall be entitled to an injunction(s) and other equitable relief to prevent or address a breach of the Terms, in a court of competent jurisdiction without proof of actual damages (and without the requirement of posting a bond or other security) and you agree not to plead sufficiency of damages as a defense in any such proceeding.

e. The Terms, and any rights and licenses granted hereunder, may not be transferred or assigned without our consent. We may assign the Terms to related or affiliated parties, or any entity resulting from a corporate transaction. Any intended assignment by you in violation of this section is null and void. The Terms inure to the benefit of our permitted successors and assigns.

g. The Terms contain the entire understanding between you and us with respect to the subject matter hereof and supersede all prior agreements and understandings, oral or written, with respect to such matters.

h. The provisions under the Terms that by their nature are intended to survive termination or expiration shall so survive.

i. If any provision of the Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms, which shall remain in full force and effect.

j. No waiver of any provision of the Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under the Terms shall not constitute a waiver of such right or provision.
